Terms and Conditions - JSARK LOGISTIX

These Terms and Conditions ("Terms") govern your use of the JSARK Logistics Multivendor Platform ("Platform") operated by JSARK ("we", "us", "our"). By using the Platform, you agree to be bound by these Terms.

1. Use of the Platform

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

• In any way that violates any applicable federal, state, local or international law or regulation.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm JSARK or users of the Platform or expose them to liability.
• To engage in any unauthorized advertising, solicitation or promotional activities.
• To impersonate or attempt to impersonate JSARK, a JSARK employee, another user, or any other person or entity.

2. User Accounts

To access certain features of the Platform, you may be required to create an account. When creating an account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.

3. Purchases

If you wish to purchase products or services through the Platform, you may be asked to supply certain information relevant to your purchase. This information may include your name, email address, phone number, payment information, and shipping address. By making a purchase, you represent and warrant that you have the legal right to use any payment method provided.

4. Intellectual Property

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by JSARK, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

6. Limitation of Liability

IN NO EVENT SHALL JSARK, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Indemnification

You agree to defend, indemnify, and hold harmless JSARK, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of another.

8. Governing Law

These Terms and any disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision.

9. Changes to Terms and Conditions

We reserve the right, in our sole discretion, to modify or update these Terms at any time. If we make material changes to these Terms, we will notify you by posting the updated Terms on the Platform or by sending you
